Tannenbaum Helpern represents debtors, as well as secured and unsecured creditors and investors in debt negotiations, out-of-court workouts, Chapter 11 reorganizations, Chapter 7 liquidations and cross-border insolvency proceedings throughout the United States. Our industry experience includes automotive, aviation, distribution, entertainment, financial services, gaming, hospitality, manufacturing, media, professional services, real estate, retail, staffing, technology and telecommunications.

Distressed Mergers & Acquisitions

Tannenbaum Helpern represents buyers and sellers in distressed M&A transactions, including Section 363 sales, foreclosures, assignments for the benefit of creditors and similar transactions. We structure transactions, perform legal due diligence, negotiate purchase and sale documentation, develop bidding and auction procedures in Section 363 and plan of reorganization sales, advise on employee severance issues, advise on incentive programs for key employees, and litigate contested bidding procedures and auction results.

Insolvency-Related Litigation and Creditors’ Rights

Tannenbaum Helpern attorneys represent clients in a wide array of debtor/creditor disputes and intercreditor disputes through trials and appeals as necessary. Disputes include preference and fraudulent transfer litigation, litigation over disputed bankruptcy claims, plan confirmation disputes and equitable subordination litigation. Tannenbaum Helpern also represents secured lenders in foreclosures and in credit-bidding transactions, as well as advising clients on creditors’ rights issues arising in real estate acquisitions, sales, financing and foreclosures.
