Negotiating a Complex Trademark and Copyright License Agreement for Fabrics and Related Products

Tannenbaum Helpern drafted and negotiated a complicated license agreement for a designer and manufacturer of fabrics and related products. The worldwide license secured the intellectual property necessary to produce a line of products in an expanding niche fashion trend. The license involved both a copyright in the fabric design and a trademark under which the products would be sold.

Complications involved the licensor’s sub-licensing certain rights in the copyright from two separate groups of co-owners in different transactions with differing provisions. Careful due diligence and negotiations were required to confirm that the licensor had the ability to license all of the rights granted.
