Biography
Anne-Mette Elkjær Andersen is a partner in Tannenbaum Helpern’s Corporate practice, advising clients on cross border and U.S. mergers & acquisitions, stock sales, asset sales, joint ventures, participation in SPACs other corporate transactions, and general corporate matters. Her clients include U.S. and foreign established privately and publicly held corporations and emerging companies on stock and asset sales, joint ventures, and SPAC matters, among others.
Anne-Mette advises foreign bank clients on loan and financing agreements involving U.S.-based subsidiaries of foreign clients. She has experience in public and private securities offerings and initial public offerings (IPOs), including simultaneous offerings both in the U.S. and internationally.
Her clients include businesses operating in the following industries: engineering, architecture, and other licensed design professions; defense; software; renewable energy; oil and gas; technology; retail and manufacturing; service; aviation; and shipping and rail, among others.
Professional Design Corporations: Regulatory and Licensing
Anne-Mette has more than 20 years of experience in representing clients that are active in the licensed professional design professions (the professional engineering, land surveying, geology, landscape architecture and architecture businesses), such as venture capital funds, private equity, regional, national, and international infrastructure & consulting companies, professional corporations and other professional design companies. She has represented clients in M&A transactions (both in equity transactions and in asset-based transactions combined with management services agreement (MSA). She also assists clients with pre-transaction planning and post-acquisition compliance.
She helps clients develop and execute corporate compliance strategies (both in New York and on a 50-state basis) for corporate ownership structures, firm licensing, registration requirements and management requirements for single profession businesses, as well as joint practices professions. She counsels clients on shareholder agreements, management services agreements and other contractual arrangements that are structured to meet state restrictions for businesses in these sectors. Anne-Mette has authored many published articles on these subjects.
Startup/Emerging Growth Companies and U.S. Market Entrants
Anne-Mette represents U.S. and international U.S. inbound entrepreneurs, startup/emerging growth companies and joint ventures (e.g., mobile apps, online games, technology, and medical devices) in every stage of development, from formation through financing and closing. She provides ongoing operational counsel, as well as transaction-specific services, and has extensive experience in negotiating and drafting a wide variety of commercial contracts such as LLC/joint venture agreements, sales contracts, leases, and manufacturing, agency and distribution agreements, software, media and other intellectual property licenses,.
Corporate and LLC Structuring
Anne-Mette also routinely advises clients on structuring complex corporate and limited liability company (LLC) structures involving corporations, LLCs and other corporate entities in the U.S. and other jurisdictions based on U.S. law (e.g., Marshall Islands and Liberia).
Previous Experience
Prior to joining Tannenbaum Helpern, she practiced as a corporate and M&A partner with Holland & Knight LLP. Early in her legal career, Anne-Mette practiced at the Danish law firm Reumert & Partners (now Kromann Reumert), primarily in the areas of general corporate law, M&A, and insolvency law, as well as in commercial and torts litigations and arbitration matters. Prior to entering private practice, Anne-Mette was a lawyer with the Danish Ministry of Justice.
